延迟履行

一方延迟履行其义务应当立即书面通知另一方。

A party suspending his performance of the contract shall forthwith notify the other party thereof in writing .

任何一方不应对因其无法控制之行为或事实造成协议延迟履行或不履行承担任何责任。

Neither party shall be responsible for delays or failures in performance resulting from acts or facts reasonably beyond the control of that party .

付款一旦延误，卖方可以书面通知买方延迟履行其义务，直到收到付款。

In case of late payment the Supplier may , after having notified the Purchaser in writing , suspend his performance of the contract until receives payment .

受影响的一方对因不可抗力而不能履行或延迟履行合同义务不承担责任。

The affected party shall not be liable for any delay or failure in performing any or all of its obligations due to the event of Force Majeure .
